1. Agreement to these Terms

These Terms of Service (the “Terms”) govern your access to and use of PostGrow (the “Service”). By creating an account, accessing, or using the Service, you agree to be bound by these Terms.

2. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by posting an update on this page). Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the updated Terms.

3. Eligibility and accounts

You must be legally able to enter into a binding agreement in your jurisdiction to use the Service. If you use the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to notify us promptly of any unauthorized access or use of your account.

4. The Service

The Service provides tools and APIs that help you draft, schedule, and publish content to connected third-party platforms (for example, social networks). The Service may also provide analytics and reporting based on data made available by those platforms.

Your use of connected platforms is governed by their own terms, policies, and rules, and you are responsible for complying with them at all times.

5. Acceptable use

You agree not to misuse the Service. For example, you must not:

• Use the Service for unlawful, harmful, or deceptive activity.
• Send spam, distribute malware, or attempt to bypass rate limits, access controls, abuse prevention, or other security measures.
• Infringe or violate the rights of others, including intellectual property, privacy, or publicity rights.
• Reverse engineer, decompile, or attempt to extract source code from the Service except where prohibited by law.
• Interfere with or disrupt the Service, including by intentionally overloading or attempting to probe, scan, or test the vulnerability of our systems.

6. Third-party services and integrations

The Service may integrate with third-party services (for example, social networks, analytics, or infrastructure providers). We do not control and are not responsible for third-party services. Your use of third-party services is at your own risk and subject to their terms.

If you connect a third-party account, you authorize us to access and use data from that account as needed to provide the Service, including publishing content on your behalf, retrieving post status, and displaying insights (as available). You are responsible for maintaining valid credentials and permissions with those third-party services.

7. Subscription, fees, and taxes (if applicable)

Some features may require a paid subscription. If you purchase a subscription, you agree to pay the applicable fees and taxes. Unless otherwise stated, fees are non-refundable except where required by law.

8. Platform compliance

When using the Service with social media platforms, you must:

• Follow platform-specific content guidelines.
• Respect API rate limits and restrictions.
• Maintain valid platform credentials and permissions.
• Comply with all terms and policies of the social media platforms you connect to, including but not limited to:

• Facebook Terms of Service and Commercial Terms
• Instagram Terms of Use
• YouTube Terms of Service and API Terms of Service
• TikTok Terms of Service
• X (Twitter) Terms of Service and Developer Terms
• LinkedIn User Agreement

Activities that repeatedly exceed platform limits, violate platform policies, or otherwise abuse connected platforms are strictly prohibited and may result in suspension or termination.

9. Your content

You retain any rights you have in content you submit to the Service, including text, images, and other materials (“User Content”).

You grant PostGrow a limited, worldwide, non-exclusive license to host, store, process, and transmit your User Content solely to provide and improve the Service (including publishing on your behalf to connected platforms).

You represent and warrant that you have all rights necessary to provide User Content and to grant the license above, and that your User Content (and its publication) will not violate any law or any third-party rights.

10. Intellectual property

The Service, including its software, APIs, and content (excluding User Content), is owned by PostGrow and is protected by applicable intellectual property laws. Except as expressly permitted by these Terms, you may not copy, modify, distribute, sell, lease, or create derivative works from the Service.

11. Suspension and termination

We may suspend or terminate your access to the Service if you breach these Terms or if your use poses a risk to the Service, other users, connected platforms, or third parties. You may stop using the Service at any time.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, PostGrow DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PostGrow WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF (OR INABILITY TO USE) THE SERVICE.

14. Indemnification

You agree to defend, indemnify, and hold harmless PostGrow from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Service, (b) your User Content, or (c) your violation of these Terms or any applicable law.

15. Governing law

These Terms are governed by the laws of the jurisdiction in which PostGrow is established, without regard to conflict of law principles.
